The Director Total Rewards - M&A is a key member of the Fortive Total Rewards team working on transactions across the Fortive portfolio of businesses. In this role, the Director will lead the HR -Total Rewards M&A due diligence process through the closing of a transaction, working closely with leaders in the business units and corporate functions. The role reports to the Vice President Total Rewards.  Position Summary

Acts as the lead due diligence representative form Human Resources focusing on Executive Compensation, compensation and benefits policies and programs for mergers, acquisitions, divestitures, partnerships and joint ventures (JV). Strong focus on total rewards programs during the due diligence and integration phase. Responsibilities

Identifies C&B strategies applicable to the type of deal structure being sought including asset purchase, stock purchase, Joint Venture (JV), or partnership.

Serves as the lead liaison with Corporate Development to ensure comprehensive due diligence (DD) and integration planning.

Develops and drives the HR Due Diligence process and report outs including Executive compensation/change in control risks, C&B costing analysis, identification of gaps and potential risk for leadership.

Identification of financial exposures that would be considered as part of the overall deal evaluation process prior to closing deal.

Determine and track data needs, review of materials and contacts in data rooms, participate in interviews with management.

Identify retention risks and create retention strategies for key talent.

Review and consultation on all deal related closing documents.

Assist in the integration process by participating in integration planning meetings, development of communications and participation in employee kickoff meetings.

Responsible for developing HR best practices on processes that will be utilized during all merger and/or global acquisition initiatives, continuously improving the deal execution and integration processes.

Development of standard work for deal integration process.

Ensures all HR efforts are coordinated and operational HR risks are identified and addressed during due diligence and integration.

Provides expertise, strategic consulting as well as thought leadership to help drive effective people strategies for each deal and influence deal negotiations accordingly.

Preferred Qualifications Bachelor's degree, Masters preferred, Finance degree and plus

Minimum of 10 years of Executive Compensation, Compensation and Benefits experience (prior M&A experience a plus)

Experience with global /country Compensation and Benefits policies and programs.

Ability to travel and work outside of normal operating hours (e.g. evenings & weekends).

Demonstrated experience in working with benefits consultants and legal teams related to complex global benefit matters.

Solid organizational and multitasking skills to include effective time management.

Strong analytical and problem solving skills, and attention to detail.

Effective verbal, written, and presentation skills with demonstrated ability to present complex ideas.

Proficiency in the use of software tools for analysis, audits, reports, and presentations including strong excel experience.

Experience managing and working with third party advisors, including financial advisors, law firms, accounting firms and other consultants and advisors

Able to build credible relationships so the individual is seen as a trusted, respected advisor
